As a team of legal and regulatory specialists, we help prevent legal violations and other compliance risks. By using and building knowledge of the Companies Act and other laws needed for company management, the department can directly support senior management. This time, we are hiring a person in charge of the governance function, which is one of the department’s key functions (legal, compliance, risk management, and governance). In the governance function, we handle governance-related work such as operating shareholders’ meetings and board meetings, adopting and revising approval rules and providing consultation support, supporting closing procedures, corporate registrations, managing internal rules and policies, and supporting the acquisition of licenses and permits. This is a workplace where you can experience and learn a wide range of legal tasks related to company operations. The RTS Compliance Department includes many early-career members and plays an active role as a specialist team, with opportunities to work closely with executives. Position Details This role supports the foundation of company management. You will manage important meetings and maintain approval policies. By communicating and working closely with stakeholders across the company and group companies, you will help run the business in a planned and secure way. ・Conducting shareholders' meetings and board of directors' meetings, preparing meeting minutes, and handling registration procedures ・Revising approval policies and providing consultation on approval items, levels, and related matters ・Support the year-end/period-end closing process (create business reports and other necessary documents; manage required procedures) ・Support and manage internal policies and rules, including updates and deletions ・Drive internal communication on governance ・Support applications for licenses/permits and any changes to them ＜Examples＞・Operate quarterly regular board meetings and additional board meetings held about 1-2 times per month ・Lead periodic revisions of approval policies, including drafting and adding original company rules Work Environment ・Headcount: RTS Compliance Department - about 30 people (about 3-10 people in each section) ・Age range: Mainly in their 20s to 40s ・New graduates vs. mid-career hires: 3:7 About 10-20 hours per month *Depending on the project and the season. After gaining experience mainly in legal and compliance (following overseas sales) at an electronics manufacturer, joined Rakuten Mobile as a legal professional. After working on legal matters in the telecommunications industry, became a manager at Rakuten Total Solutions, overseeing legal, intellectual property, compliance, governance, and risk management. After about five years in a compliance role, moved into a manager position responsible for overall compliance, including legal and governance. This person greatly expanded their expertise as a regulatory compliance specialist. Mandatory Qualifications: ・At least 3 years of work experience ・Native-level Japanese proficiency ・Hands-on experience managing shareholders’ meetings and board meetings at an operating company (agenda coordination, convening, running meetings, preparing minutes, corporate filings/registrations, etc.) Desired Qualifications: ・Work experience using English ・Japanese attorney qualification ・Experience of working as a paralegal ・Experience of handling with legal filings ・Hands-on experience developing and revising approval rules, and handling related consultations ・Basic knowledge of the Companies Act Other Information: Additional information on Location Shinjuku East Side Square Shinjuku East Side Square, 6-27-30 Shinjuku, Shinjuku-ku, Tokyo Additional information on Secondment You will be hired under Rakuten Group, Inc.
