Job Description We are seeking a highly organized, detail-oriented and proactive professional to support the legal and transaction management functions of the Brookfield Real Estate Credit platform (BREC). Working closely with Legal, Investment, Finance and Operations, the candidate will own assigned workstreams across deal execution, post-closing, transaction documentation, KYC, regulatory and legal operations matters, anticipating next steps and driving items to completion independently. The ideal candidate manages competing priorities with sound judgment and seeks to improve processes, including through the thoughtful use of AI and other technology. Key Responsibilities Transaction & Documentation Support Coordinate, track and review incoming NDAs against approved templates, identifying deviations and coordinating comments with brokers and internal stakeholders. Assist with review of routine transaction documents, including short-term extensions, payoff letters and participation agreements. Review signature packets prepared by counsel to confirm legal entities, signatory names and titles, and maintain signature blocks for closings. Support closing and post-closing processes, ensuring closing sets, modification documents and other loan documentation are complete and filed in iManage and other repositories per established protocols. Confirm closing binders are complete before delivery to the document custodian, and own tracking of trailing recorded documents and other post-closing deliverables through completion. Information Management & Compliance Maintain the securities watch list (SWL), including CUSIPs and CMBS securities tied to transactions involving material nonpublic information, and ensure CMBS securities held by the platform are accurately reflected. Respond to SWL-related inquiries from internal teams. Maintain accurate and organized records supporting transaction and compliance processes. KYC & Due Diligence Coordinate Know Your Customer (KYC) diligence using LexisNexis, Alias and other approved tools, reviewing organizational charts to identify entities and individuals requiring diligence. Review KYC results and escalate potential issues for additional review. Request, review and maintain authorized signatory information. Distribute and track borrower questionnaires, beneficial ownership forms and related documentation. Coordinate outbound KYC requests for bank account openings, joinders and other transaction-specific matters. Licensing & Regulatory Support Support California lender licensing and Nationwide Multistate Licensing System (NMLS) requirements, including new license applications prepared with outside counsel and law clerks. Partner with Finance Operations on annual California Department of Financial Protection and Innovation (DFPI) audit filings. Coordinate preparation of quarterly and annual Mortgage Call Reports (MCRs). Track licensing requirements, submissions and deadlines and drive required follow-up. Legal Operations & Governance Create and maintain matters in LegalTracker (Serengeti) to process and track legal invoices. Support BREC’s Allocations and Investment Committees by coordinating memoranda and materials, preparing agendas and recording minutes. Administer access to legal and business systems and subscriptions, including Blueprint, Diligent, ChatGPT and LegalTracker. Identify manual or repetitive processes and implement improvements, including through AI and automation, to improve efficiency, accuracy and consistency. Assist with additional legal operations, transaction management and documentation projects as needed. Qualifications Strong organizational skills and exceptional attention to detail, with the ability to manage multiple transactions, workstreams and deadlines concurrently. Demonstrated ownership and accountability, with the ability to work independently, anticipate next steps and drive workstreams from initiation through completion. Strong written and verbal communication skills and ability to coordinate across Legal, Investment, Finance and Operations teams. Comfort reviewing legal and transaction documentation and identifying inconsistencies, with sound judgment on when to act independently and when to escalate. Discretion in handling confidential and sensitive information. Proficiency with Microsoft Office and document-management systems; experience with iManage, LegalTracker/Serengeti, NMLS, LexisNexis or similar platforms is a plus. Experience with AI-enabled platforms, including legal AI tools such as Harvey, and an aptitude for using emerging technologies to improve workflows, is preferred. Prior experience in legal operations, transaction management, commercial real estate finance, private credit, a law firm, financial services or a related environment is preferred. Key Attributes for Success The ideal candidate is proactive, organized and detail-oriented, with sound judgment and a strong sense of ownership. Rather than simply executing tasks, they anticipate next steps, address open items and independently drive matters to completion, while continuously looking for ways AI and other tools can make processes more efficient and accurate. Salary Range: $90,000 - $130,000 Our compensation structure is comprised of a base salary and a short-term incentive program (cash bonus). Cash compensation tends to vary based on geography to account for local market conditions and is set to be market competitive.
